Affiliate Program Terms Of Service

Please read this affiliate program agreement carefully.

This is a contract between you (the "Affiliate") and us ("ContentStudio").

It describes how we work together, what we pay you, what we expect from you, and how either of us can end the relationship. It's a legal document, so some of the language is necessarily formal, but we've tried to keep it readable and to put the numbers that matter in plain sight.

This Agreement applies to your participation in the ContentStudio Affiliate Program (the "Program"). We can't have you participate unless you agree to it.

We may update these terms from time to time. If we do, we'll let you know by email or through your partner dashboard, and the change takes effect 30 days later. Importantly: if we change commission rates or durations, the change won't affect customers you've already referred; those continue at the rate you earned them under. If you don't agree to an update, you can leave the Program.

1. Joining the program

1.1 To join, submit an application and create an account with FirstPromoter, our affiliate platform. We review applications within three business days. Approval or rejection is at our sole discretion, and you have no legal recourse against us for a rejection.

1.2 To be eligible, you must:

  • operate an active website, publication, channel, newsletter, community or client base relevant to social media, marketing or an adjacent field;
  • be at least 18, or the age of majority where you live, whichever is higher;
  • not be located in or a resident of a comprehensively sanctioned jurisdiction, and not appear on any applicable restricted-party list; and
  • complete the tax documentation described in section 3.8.

1.3 The following can't take part:

  • current and former ContentStudio employees and contractors, and their immediate families;
  • participants in our white-label reseller program or any other ContentStudio partner program, in respect of the same customer account, without our written consent; and
  • anyone previously removed from the Program.

1.4 We run several Program tracks - Creator, Agency Partner and Customer Advocate - each with its own commercial terms, published on your dashboard and at ContentStudio affiliate-program. Your track and tier are shown in your account. Where a track-specific term conflicts with this Agreement, the track-specific term applies for that track.

1.5 You and ContentStudio are independent contractors. Nothing here creates a partnership, agency, joint venture or employment relationship. We each use the word "partner" descriptively, not legally.

2. Referrals, tracking and who gets credit

2.1 When you're approved, we give you a unique tracking link. We're not obliged to pay commission on any sale that isn't tracked through your link or an approved discount code issued to you.

2.2 A click on your link places a cookie in the visitor's browser that lasts 90 days.

2.3 We use last-click attribution. If a prospect has clicked several affiliate links, credit goes to whoever was clicked most recently within the cookie window.

2.4 Even so, no commission is payable, or we may reallocate it, reasonably, where:

  • the prospect was already a ContentStudio customer when they clicked;
  • the prospect cancelled a ContentStudio subscription in the previous 60 days and then re-subscribed through an affiliate link;
  • we were in an active sales process with them at the time of the click or in the 60 days before it;
  • the prospect is you or a Related Party; or
  • different affiliates are associated with an initial sale and a later upgrade of the same account, in which case we allocate as we reasonably determine.

We decide, reasonably, whether a referral is valid, and we resolve tracking discrepancies.

2.5 A "Related Party" means any account sharing a name, billing address, payment method, email domain or other identifying detail with you; any entity you control, are controlled by, or share control with; and any member of your immediate family or household. Referrals of Related Parties don't qualify.

2.6 If we issue you a discount code, using that code at checkout credits the sale to you, unless another affiliate's link was clicked in the previous 7 days, in which case the link wins. Share your code only through channels you own. Don't submit it to coupon, deal or cashback sites.

2.7 Never collect payment from a customer on our behalf. We bill and collect directly.

3. Commissions and payment

3.1 If you are on the Creator or Customer Advocate track, we pay commission on Qualifying Revenue from each customer you refer, at the rate and duration for your tier:

3.2 We review tiers quarterly on your last 90 days. Changes take effect from the start of the following month and apply to customers referred after that point.

3.3 "Qualifying Revenue" means subscription fees we actually receive and keep from a referred customer during the commission period, not including:

  • taxes, duties and payment processing fees;
  • amounts refunded, charged back, disputed or written off;
  • amounts paid using ContentStudio credit, promotional balance or vouchers;
  • one-time and non-subscription purchases;
  • products or services from our related entities that aren't part of the Program; and
  • revenue from any customer using ContentStudio in breach of our Terms of Service or Acceptable Use Policy.

3.4 If a referred customer upgrades, your commission is calculated on the higher amount from their next billing cycle. If they downgrade, it reduces accordingly. If they cancel, commission stops and we owe nothing for the rest of the period.

3.5 Commission is approved once a referred customer has held a paid subscription for 30 consecutive days.

3.6 We pay approved commissions monthly, by the 15th of the following month, once your approved balance reaches $50. Anything below that rolls over.

3.7 We pay in US dollars by bank transfer, PayPal, Wise or Payoneer, as you choose in your dashboard. You cover any currency conversion costs and all taxes on what you receive.

3.8 You must provide complete, accurate tax documentation (W-9 or W-8BEN, as applicable) through the platform. If we haven't received it within 90 days of you joining, commission on everything you referred before you submit it is permanently forfeited. Keep it current.

3.9 We may reverse commission for refunds, chargebacks, cancellations, duplicate or erroneous transactions, and anything we reasonably determine to be fraudulent or in breach of this Agreement. We can offset reversals against future commission or recover them from you directly.

3.10 You have 30 days from a payment to raise a dispute about it. After that, it's treated as accepted.

3.11 If your account records no click, referral or login for 12 consecutive months, we may notify you by email. If your balance is still below the payout threshold of $50 and the account is still inactive 90 days after that notice, we may close it.

3.12 If we change commission rates or durations, the change doesn't apply to customers you referred before it took effect. Those continue at the original rate for the rest of their period.

4. Using our brand

4.1 While this Agreement is in force, you may link to our website and use our trade names, logos and trademarks (the "Marks") to promote ContentStudio and to describe being an affiliate.

4.2 You must use only the Marks we make available on our brand assets page, without altering colour, proportion, orientation or composition; follow our brand guidelines and stop using them if we ask.

4.3 You must not:

  • combine the Marks with other marks or fold them into your own;
  • use them in a misleading or disparaging way, or in a way that implies we employ or endorse you beyond your role as an affiliate;
  • use "contentstudio," or anything confusingly similar, in a domain name, subdomain, app name, social handle or business name;
  • design anything that copies the look and feel of our website, app or social accounts; or
  • use the Marks alongside unlawful or objectionable material.

4.4 Goodwill from your use of the Marks belongs to ContentStudio. Otherwise, each of us keeps our own intellectual property.

4.5 You grant us a non-exclusive, royalty-free right to use your name, logo and marks in connection with the Program, including in partner listings and case studies.

5. How you may and may not promote us

5.1 What's encouraged. Promote through content you own - reviews, tutorials, comparisons, video, podcasts, webinars, courses, your own opt-in email list, social media, and community participation with proper disclosure.

5.2 Paid media. Without our written permission, you must not:

  • bid on, buy or target "ContentStudio," "Content Studio," or any variation, misspelling, translation or combination, on any paid channel - search, paid social, display, native, video, shopping or retargeting;
  • use the Marks in paid ad copy, display URLs or ad extensions; or
  • send paid traffic directly to ContentStudio pages.

5.3 Technical. You must not:

  • use cookie stuffing, forced clicks, auto-redirects, pop-ups, pop-unders or iframe injection;
  • mask, alter or falsify referring URL information;
  • distribute your link through browser extensions, toolbars, adware or any software that injects or rewrites links; or
  • use automation or AI to create fake transactions, accounts, traffic or documentation, or to get around any Program restriction.

5.4 Outreach. You must not:

  • send unsolicited bulk email, use purchased or scraped lists, or mass direct message;
  • post affiliate links in ContentStudio-run properties - our community, support channels, social comments, YouTube channel or review profiles; or
  • place your link on coupon, deal or cashback sites without our written approval.

5.5 Content. You must not:

  • make false, misleading or unverifiable claims about our features, pricing, competitors or the results people can expect;
  • publish mass-produced AI-generated content about ContentStudio without meaningful human review and any AI disclosure the law requires;
  • promote us on properties containing or promoting illegal activity, discrimination, harassment or infringing material;
  • impersonate anyone from ContentStudio; or
  • offer any rebate, cashback or incentive funded from your commission, or any discount, extended trial or promotional offer we haven't approved in writing.

5.6 Bundling. You may bundle your own products or services with a ContentStudio referral, as long as the bundle doesn't misrepresent ContentStudio, doesn't imply we endorse whatever you've bundled, and complies with 5.5.

5.7 Disclosure. Disclose your affiliate relationship clearly and conspicuously, in line with the FTC Endorsement Guides and the equivalent rules where you operate (including UK CAP/ASA rules and EU consumer protection law). The disclosure must sit before or alongside the link - not only in a footer or on a separate page.

5.8 Comply with all applicable law and with the rules of any platform you use, and conduct yourself in a way that supports ContentStudio's reputation.

7. Monitoring

7.1 We may monitor your promotional activity - websites, channels, paid media and traffic patterns - to check compliance.

7.2 We may ask you to show how you generated referrals. Please respond within 10 business days. If you don't, we may withhold commission and suspend your account.

7.3 If we reasonably suspect fraud or a serious breach, we may hold commission for up to 60 days while we investigate, and withhold it permanently if the suspicion is confirmed.

8. Ending the agreement

8.1 This Agreement starts when your application is approved and runs until it's terminated.

8.2 Either of us may end it at any time, with or without a reason, on 5 days' written notice. Email counts.

8.3 We may suspend or terminate immediately, without notice, for:

  • fraud, suspected fraud or self-referral;
  • breach of sections 4, 5 or 6;
  • promotion on sites containing or promoting illegal activity;
  • failing to disclose the affiliate relationship;
  • infringing our or anyone else's intellectual property; or
  • conduct we reasonably judge to damage our reputation.

8.4 When this Agreement ends, stop using your link, the Marks, and all Program materials immediately. Subject to 8.5, we'll pay commission approved before the end date in the normal cycle.

8.5 If we terminate under 8.3, unpaid commission is forfeited and we may recover commission already paid on the affected transactions.

9. Indemnification

You'll indemnify, defend and hold harmless ContentStudio, our affiliates and subsidiaries, and our respective officers, directors, employees and agents, from all liabilities, claims, losses, damages, fines, judgments, costs and expenses (including reasonable legal fees) arising from: how you run your properties; your breach of this Agreement or your warranties; your promotional activity; your failure to disclose; or your infringement of anyone's intellectual property.

10. Governing law, jurisdiction, and attorney fees

This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of Delaware. Any dispute arising under or related in any way to this Agreement shall be adjudicated exclusively in the state courts located in Claymont, Delaware.

In the event of litigation to enforce any provision of this Agreement, the prevailing party will be entitled to recover from the other party its costs and fees, including reasonable legal fees.
